According to the Brazilian Corporate Governance Institute (IBGC), corporate governance is the system by which companies and other organizations are directed, monitored and encouraged, involving relationships between members, board of directors, board of executive officers, supervisory and control bodies and other parties concerned.

Good corporate governance practices translate basic principles into objective recommendations, aligning interests with the purpose of preserving and optimizing the long-term economic value of the organization, facilitating its access to resources and contributing to the quality of the organization’s management, longevity and very common.

As the main references of basic principles that support good governance practices, we would like to highlight and recommend the OECD Report on the OECD Report to G20 Finance Ministers and Central Bank Governors of the OECD – Organization for Economic Co-operation and Development and the “Code of Practical Melts of Corporate Governance “of IBGC – Brazilian Institute of Corporate Governance, which highlights the following basic principles of governance:

Transparency

It consists of the desire to make available to interested parties the information that is of interest to them, not just those imposed by laws or regulations. It should not be restricted to economic-financial performance, also considering other factors (including intangibles) that guide management action and which lead to the preservation and optimization of the value of the organization.

Equity

It is characterized by the fair and isonomic treatment of all partners and other stakeholders, taking into account their rights, duties, needs, interests and expectations.

Accountability

Governance agents must be accountable for their actions in a clear, concise, understandable and timely manner, fully assuming the consequences of their acts and omissions and acting diligently and responsibly within their roles.

Corporate Responsibility

Governance agents must ensure the economic and financial viability of organizations, reduce the negative externalities of their business and operations and increase the positive ones, taking into account in their business model the various capitals (financial, manufactured, intellectual, human , social, environmental, reputational, etc.) in the short, medium and long term.
